Terms of Service

1. Acceptance of Terms
By accessing and using 12oClock's services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.
2. Description of Services
12oClock provides software engineering, automation, and technical consultancy services including but not limited to:
- AI and machine learning integration
- ERP implementation and rescue
- Web and application development
- Process automation (RPA)
- Data migration services
- Technical consultancy and advisory
3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information
- Granting necessary access to systems and environments
- Timely communication and feedback
- Payment of fees as agreed in the service contract
4. Intellectual Property
Unless otherwise specified in a separate agreement, all intellectual property rights in deliverables created specifically for a client shall transfer to the client upon full payment. 12oClock retains rights to pre-existing tools, frameworks, and methodologies.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes but is not limited to source code, business processes, customer data, and technical documentation.
6. Limitation of Liability
12oClock shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use our services. Our total liability shall not exceed the amount paid for the specific services giving rise to the claim.
7. Termination
Either party may terminate the service agreement with written notice as specified in the individual service contract. Upon termination, the client shall pay for all services rendered up to the termination date.
